What is required to value a business?

The process starts with extracting the current, historical and budget (if applicable) operating profit of the Business. Normalization adjustments are then made to add-back or remove certain income and expenses that are either non-cash, discretionary, of a financing nature or are one-off. These adjustments result in an Adjusted Earnings of the Business. These results are then averaged to obtain the “future maintainable earnings” (FME) of the Business. If the FME is positive, we capitalize (multiply) these earnings with a “capitalization multiple” which is a number reflecting the number of years of earnings that a business would transact for. The capitalization multiple can be obtained from the downloadable report that is purchased from Valequiti. If the FME is negative, the valuation reverts to what is called a “net assets” valuation methodology. The value of the Business in this scenario is the value of the assets of the enterprise less its liabilities.

After the FME and capitalized value of the Business is assessed, we then review the Balance Sheet as at the valuation date and add any adjustment for increase in net assets from the capitalized value, and assess for any surplus assets and financial liabilities. The addition of the capitalized value of the Business, any required net asset adjustment, surplus assets and financial liabilities (as a negative) results in 100% of the equity of the entity. Consideration can then be give to whether a partial interest in the equity of the enterprise needs to be assessed.

The Valequiti Excel Calculator gives the user an example framework in which to undertake a business valuation. The valuation of a business requires numerous amounts to be extracted from the financial statements analyzed in a particular process in order for the value of the business to be ascertained. The fixed structure contained within the Calculator allows the valuation to be conducted in a logical and easy to follow manner.

For a valuation to be relevant, the user also needs the market data on which to input into the model. This information may be sourced from the Valequiti downloadable capitalization multiple reports. Our market data is obtained from market based sources and is quality reviewed by our analysts prior to publication.
